Terms of Service

You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account. Notify us promptly at possitivlabs@gmail.com of any unauthorised use.

Paid Services are billed on the plan you select. Fees are non-refundable except where required by law. Trials and beta features may be modified or discontinued at any time. Taxes are your responsibility unless we are required to collect them.

• Do not reverse engineer, decompile, or attempt to access source code except as permitted by law.
• Do not interfere with, disrupt, or attempt to gain unauthorised access to the Services or related systems.
• Do not upload unlawful, infringing, harmful, or malicious content.
• Do not use the Services to build a competing product or to benchmark without our written consent.
• Comply with all applicable laws, including export, sanctions, data protection, and anti-corruption laws.

You retain all rights in the data you submit to the Services ("Customer Data"). You grant Possitiv a limited licence to host, process, and transmit Customer Data solely to provide and improve the Services. You are responsible for the accuracy and legality of Customer Data and for obtaining all necessary consents.

The Services, including all software, content, designs, and trademarks, are owned by Possitiv or its licensors and are protected by intellectual property laws. We grant you a non-exclusive, non-transferable right to use the Services during your subscription.

Each party will protect the other's confidential information with the same care it uses for its own (and no less than reasonable care), and use it only to perform under these Terms.

The Services may integrate with third-party tools (e.g. carriers, regulators, ERPs). Your use of those tools is governed by their own terms; we are not responsible for them.

We work to make the Services available with high reliability but do not guarantee uninterrupted operation. We may modify, add, or remove features over time. Material changes affecting paid features will be communicated in advance where reasonable.

We may suspend or terminate access for material breach, non-payment, or risk to the Services. You may stop using the Services at any time. On termination, your right to use the Services ends and Customer Data will be handled per our Privacy Policy.

To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. Possitiv does not provide legal, tax, or regulatory advice; outputs of the Services are informational.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Possitiv's aggregate liability arising out of or relating to these Terms will not exceed the fees you paid for the Services in the twelve (12) months preceding the event giving rise to the claim.

You will defend and indemnify Possitiv against third-party claims arising from your Customer Data or your breach of these Terms, subject to prompt notice and reasonable cooperation.

These Terms are governed by the laws of India, without regard to conflict of laws principles. Courts located in Bengaluru, Karnataka will have exclusive jurisdiction, subject to any mandatory rights you have under local law.

We may update these Terms from time to time. Material changes will be communicated through the Services. Continued use of the Services after the effective date constitutes acceptance.
